Terms of Sale

1. Publisher and purpose
These terms govern the sale of subscriptions to the Prospenso service, published by Victor Marion, sole proprietor, 15 rue Louis Postel, appartement 204, 35000 Rennes, France, registered under SIRET 993 212 323 00022.
Prospenso is an email sales prospecting platform: import and enrichment of business contacts, automated email sequences, tracking of sends and replies.
2. Eligible customers
The service is reserved for professionals acting in the course of their business. By subscribing, customers declare that they are acting for business purposes. No subscription by a consumer is accepted.
3. Plans and pricing
Prospenso is offered as a monthly subscription with no commitment: Starter €49/month (500 leads, 1,000 emails per month), Pro €149/month (5,000 leads, 10,000 emails per month), Agency €399/month (unlimited leads and emails, multiple workspaces).
VAT not applicable, article 293 B of the French General Tax Code: the prices shown are net, and no VAT is due or invoiced. The applicable prices are those shown on the site at the time of subscription. Any price change is notified at least thirty days before it applies and does not affect the current period.
4. Free trial
Every sign-up opens a fourteen-day free trial, with no charge and no automatic renewal. Creating an account, importing contacts and preparing sequences do not require any payment method.
However, a bank card must be registered before connecting a sending mailbox or activating a campaign, i.e. before any actual sending. No amount is charged during the trial, and no subscription starts automatically at its end.
At the end of the trial, access to the features is suspended until a subscription is taken out. Account data is kept for thirty days after the end of the trial, then deleted.
5. Payment and invoicing
Payment is made by bank card via Stripe, a licensed payment provider. No bank details are stored by the publisher. The subscription is charged when it is taken out, then on each monthly due date by automatic renewal.
Invoices are available at any time from the customer portal. If a payment fails, the customer is informed by email; if the situation is not resolved within seven days, access to the service may be suspended.
6. Right of withdrawal
As the service is intended exclusively for professionals, the right of withdrawal provided for consumers does not apply. The fourteen-day free trial allows the service to be evaluated before any payment.
7. Cancellation
The subscription can be cancelled at any time, without giving reasons, from the customer portal. Cancellation takes effect at the end of the current monthly period, which has already been paid; no pro-rata refund is made. The customer keeps full access until that date.
The publisher may terminate an account in the event of a serious breach of these terms, in particular use contrary to article 9, after a formal notice that has remained without effect for fifteen days — except in a clear emergency.
8. Availability and support
The publisher uses reasonable means to ensure the availability of the service, without guaranteeing any specific uptime rate. Interruptions for planned maintenance are announced in advance whenever possible.
Support is provided by email at contact@prospenso.com, Monday to Friday, with an indicative response time of two working days.
9. Customer obligations
The customer is solely responsible for the contacts they import and the messages they send. They undertake to comply with the regulations applicable to sales prospecting, in particular the GDPR: informing the people contacted, a valid legal basis, handling objection requests and honouring unsubscribe requests.
The following are prohibited in particular: sending messages to private individuals without prior consent, identity theft, distributing unlawful content and any attempt to circumvent the service's sending limits.
10. Personal data
For the data of their own contacts, the customer is the controller and the publisher acts as a processor within the meaning of article 28 of the GDPR. The details are set out in the privacy policy.
11. Liability
The publisher cannot be held liable for the consequences of any use of the service that does not comply with these terms or with the regulations, nor for the commercial results obtained. The publisher's total liability, for all causes combined, is limited to the amounts actually paid by the customer in the twelve months preceding the event giving rise to the claim.
12. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution before taking any legal action. Failing agreement, jurisdiction is conferred on the competent courts of Rennes, France.
